1. Introduction and Acceptance of Terms

By accessing or using Marketvide (“the Service”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you and Track49 (“we,” “us,” or “our”).

Your use of our Service indicates your acceptance of these Terms.

We may update these Terms at any time. We will notify you of any changes by:

  • Updating the "Last Updated" date at the bottom of these Terms.

Your continued use of the Service constitutes acceptance of the modified Terms.

The laws of British Columbia, Canada, shall govern this agreement and your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.

2. Definitions

For clarity throughout this document, the following terms have specific meanings:

  • “Service” refers to the website Marketvide.com, including all content, features, and functionality provided through this domain.
  • “User” means any individual or entity that accesses or uses the Service.
  • “Content” includes text, images, videos, audio, graphics, and all other forms of information or data.
  • “Input” means any data, text, or prompts provided by the User to the Service.
  • “Output” means the AI-curated news, articles, or other communications generated and delivered by the Service based on the Input.

3. Description of Services

Our Service provides AI-curated news and communications (the "Output"). We offer an online platform for users to subscribe to predefined packages, or they can purchase bespoke services.

Service Availability: Our Service is generally available 24/7, except during scheduled maintenance windows. We aim for 99.9% uptime but do not guarantee uninterrupted access.

4. AI Content, Intellectual Property, and Data Use

4.1. AI Accuracy and Liability Disclaimer

The Output is generated using Artificial Intelligence and machine learning models. As this technology is probabilistic, the Output may, in some situations, be inaccurate, incomplete, or contain errors, including "hallucinations" (false or misleading information generated by the AI).

  • You acknowledge and agree that you must evaluate the Output for accuracy and appropriateness for your use case.
  • The Output should not be relied upon as the sole source of truth or factual information, or as a substitute for professional advice (e.g., legal, financial, or medical).
  • Track49 is not responsible for any decisions or actions taken based on the Output.

4.2. Intellectual Property Ownership

  • Your Input: You retain all ownership rights in and to the Input you provide to the Service.
  • The Output: Subject to your compliance with these Terms, Track49 assigns to you all of its right, title, and interest in and to the Output. You are responsible for ensuring the Output complies with all applicable laws before use.
  • Service IP: All rights, title, and interest in and to the Service (excluding the Output and your Input), including all software, code, models, and trademarks, are and will remain the exclusive property of Track49.

4.3. Data Use for Model Training

Track49 does not use your Input, Output, or any personal data you submit to the Service to train or improve our AI models. We use your data strictly to provide the subscribed services, as detailed in our Privacy Policy.

5. User Eligibility and Responsibilities

Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement and have the right, authority, and capacity to enter into these Terms.

Geographic Restrictions

Our Service is available worldwide, provided your use does not violate any local laws or international sanctions applicable to you.

Account Creation

When creating an account, you must:

  • Provide accurate, current, and complete information
  • Use your real name or authorized business name
  • Create a unique and secure password
  • Not share your account credentials
  • Accept full responsibility for all activities that occur under your account.

Acceptable Use

Users must:

  • Comply with all applicable laws and regulations in connection with your use of the Service.
  • Respect the intellectual property rights of Track49 and others.
  • Refrain from engaging in any activity that interferes with or disrupts the Service or the servers and networks connected to the Service.
  • Not use the Service to upload, post, or transmit any illegal, abusive, harassing, defamatory, or otherwise objectionable content.
  • Not attempt to gain unauthorized access to any portion or feature of the Service, or any other systems or networks connected to the Service.

6. Pricing, Payment, and Termination

Pricing Structure

  • Subscription payments are required for continued access to the Service's features.
  • Choice of annual or monthly payments, as selected during the subscription process.

Payment Terms

  • All prices are listed in CAD (Canadian Dollars).
  • Billing recurs on a monthly or annually basis on the day of the month of the initial payment.
  • Accepted payment methods are handled securely through Stripe.
  • Late payments will result in the loss of subscription access if payment isn't rectified after 8 attempts over a reasonable period, after which the account may be suspended or terminated.
  • Prices are subject to change upon 30 days' notice, which may be provided by posting the changes to the Service or via email.

Cancellation

To cancel your subscription:

  • Navigate to the 'manage plan' page and cancel your payments through our Stripe portal.
  • Your subscription will remain active until the end of your current billing period, and no further charges will be made.

Refunds

We do not offer refunds at this time. All sales are final. We encourage users to fully evaluate the Service during any trial period offered before committing to a paid subscription, subject to any mandatory rights under provincial consumer protection law.

7. Data Protection and Privacy Policy

We are committed to protecting your privacy. Our Privacy Policy (available here: [Insert Link to Privacy Policy]) explains in detail how we collect, use, and safeguard your information in compliance with Canadian law, including PIPEDA. By using our Service, you agree to the practices outlined in our Privacy Policy.

8. Disclaimer and Limitation of Liability

Warranty Disclaimer

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We make no warranty that the Service will be uninterrupted, secure, or error-free. The AI-curated news and communications are provided for informational purposes only and we do not guarantee the accuracy, completeness, or usefulness of any content (see Section 4.1).

Limitation of Liability

In no event will Track49, its affiliates, directors, or employees be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including, without limitation, damages for loss of profits, goodwill, data, or other intangible losses, that result from the use of, or inability to use, the Service, including any reliance placed on the Output generated by the AI. Our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Service is limited to the greater of:

  • The amount you have paid to us for the Service in the twelve (12) months preceding the claim; or
  • One hundred Canadian dollars ($100 CAD).

Indemnification

You agree to indemnify, defend, and hold harmless Track49 and its affiliates, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms or any representations and warranties contained herein.
  • Your Input or your use of the Output.
  • Your use of the Service.

Force Majeure

We are not liable for any failure or delay in performance under these Terms for causes beyond our reasonable control, including but not limited to:

  • Natural disasters, acts of God (e.g., floods, earthquakes).
  • Acts of government, including wars, terrorism, or political instability.
  • Internet service provider failures, network downtime, or other infrastructure issues beyond our direct control.
  • Unexpected technical issues, severe cyber attacks, or power outages.
  • Labor disputes or other circumstances beyond our reasonable control.
